BeamIt Health, Inc. ("BeamIt," "we," "our," or "us") provides a secure digital platform for patients and healthcare providers to share medical imaging (e.g., CT, MRI, X-ray) instantly. Our mission is to lower the friction in healthcare by enabling seamless, patient-directed sharing of medical imaging data.

By accessing or using BeamIt — including our website at beamit.health, mobile applications, and SMS messaging services (collectively, the "Service") — you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

1. Eligibility

You must be at least 18 years old to use BeamIt independently. Individuals under 18 may use BeamIt only with the involvement and consent of a parent or legal guardian. Healthcare providers must be licensed professionals in good standing to use provider features.

2. Account Registration

To use BeamIt, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your contact information remains current

3. Medical Image Sharing

BeamIt enables you to upload, store, and share medical images. By using our service, you acknowledge and agree that:

• You have the legal right to upload and share any images you submit
• You are responsible for obtaining any necessary consents before sharing others' medical images
• BeamIt is a technology platform and does not provide medical advice, diagnosis, or treatment
• Sharing images with a healthcare provider does not create a doctor-patient relationship through BeamIt
• You should always consult with qualified healthcare professionals for medical decisions

4. SMS Messaging Terms

BeamIt uses SMS text messaging to deliver transactional notifications related to medical image sharing and account verification. By using our Service or providing a phone number, you acknowledge and agree to the following:

BeamIt Medical Image Sharing Notifications

Program Description

BeamIt sends authenticated, transactional text messages with secure links and one-time verification codes so recipients can access shared medical images securely online. Messages are strictly related to medical image access and identity verification. BeamIt does not use phone numbers for marketing, and messages are sent only in connection with imaging sharing activity.

Consent

By entering a phone number during the image sharing process, the sender authorizes BeamIt to send a notification SMS to the recipient. By proceeding to access shared imaging, the recipient consents to receive transactional SMS messages from BeamIt related to medical image access and account verification. Consent is not a condition of purchase of any goods or services.

Message Types

• Sharing Notifications: Informing a recipient that medical imaging has been shared with them, including a secure link to view the content
• Verification Codes: One-time codes to verify recipient identity before granting access to shared medical images
• Account Alerts: Security-related notifications about account access

Message Frequency

Message frequency varies based on sharing activity. Messages are sent only when medical imaging is shared with you or when identity verification is required. BeamIt does not send recurring automated marketing messages.

Message & Data Rates

Message and data rates may apply. BeamIt does not charge for SMS messages, but standard messaging fees from your mobile carrier may apply. Check with your carrier for details about your plan.

Opt-Out

You may opt out of SMS messages at any time by texting STOP to any BeamIt message. You will receive a single confirmation message, and no further messages will be sent. Please note that opting out may affect your ability to receive shared medical images and verification codes via SMS. You may still access BeamIt via the website at beamit.health.

Supported Carriers

BeamIt SMS is supported on all major US carriers. Carriers are not liable for delayed or undelivered messages.

5. Patient Rights

As a patient, you maintain full ownership and control of your medical images. You have the right to:

• Share your images with anyone you choose
• Revoke sharing permissions at any time
• Download copies of your images
• Request deletion of your data from our platform
• Access audit logs showing who has viewed your images

6. Healthcare Provider Obligations

Healthcare providers using BeamIt agree to:

• Use shared images only for legitimate healthcare purposes
• Maintain patient confidentiality in accordance with applicable laws
• Not further share patient images without explicit authorization
• Comply with all applicable healthcare regulations and professional standards

7. Acceptable Use

You agree not to:

• Use BeamIt for any unlawful purpose
• Upload content that infringes on intellectual property rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Upload malicious software or harmful content
• Impersonate others or provide false information
• Use the platform for commercial purposes without authorization
• Use our SMS services for any purpose other than accessing shared medical imaging

8. Privacy and Security

Your privacy is critically important to us. Our collection, use, and protection of your information — including phone numbers and SMS data — is governed by our Privacy Policy, which is incorporated into these Terms by reference. We do not sell your personal information or phone numbers, and we do not use them for marketing purposes.

9. Intellectual Property

The BeamIt platform, including its software, design, logos, and content (excluding user-uploaded content), is owned by BeamIt Health, Inc. and protected by intellectual property laws. You retain all rights to your medical images and personal data.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice. We are not liable for any unavailability or modifications to the service. SMS message delivery depends on carrier availability and is not guaranteed.

11. Disclaimer of Warranties

BEAMIT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEAMIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless BeamIt, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, violation of these terms, or infringement of any third-party rights.

14. Termination

You may terminate your account at any time. We may suspend or terminate your access if you violate these terms or for other legitimate business reasons. Upon termination, your right to use BeamIt ceases, and SMS messaging will stop. Certain provisions of these terms will survive termination.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Santa Clara County, California.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the platform. Continued use after changes constitutes acceptance of the modified terms.
